Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Accomium (the "Service"), operated by Accomium ("we", "us" or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of service

Accomium is a cloud-based accounting system providing general ledger, banking, invoicing, billing, expense, tax and reporting functionality. We may add, change or discontinue features of the Service from time to time, and will provide reasonable notice of any change that materially reduces functionality you rely on.

3. Account registration and responsibilities

You must provide accurate and complete information when creating an account, and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

4. Subscriptions, billing and cancellation

The Service is offered on a subscription basis across our Starter, Growth and Business plans, each with different feature sets and usage limits as described on our pricing page. Subscription fees are billed in advance on a recurring basis and are non-refundable except as required by law or as we otherwise expressly state. You may upgrade, downgrade or cancel your subscription at any time; changes take effect at the end of the current billing period unless otherwise stated. If a payment fails, we may suspend access to the Service until payment is resolved.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including tax and financial reporting laws.
  • Infringe the intellectual property or other rights of any third party.
  • Upload malicious code, or attempt to gain unauthorized access to the Service or other accounts.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to store or transmit data you do not have the right to process.

6. Data ownership

As between you and us, you own all financial, transactional and business data you enter into or import into the Service ("Customer Data"). We do not claim ownership over Customer Data. You are solely responsible for the accuracy of Customer Data and for ensuring you have the right to enter it into the Service. On request, and subject to reasonable notice, we will provide you with a copy of your Customer Data in a standard export format.

7. Intellectual property

The Service, including its software, design, features and the Accomium name and branding, is owned by us and our licensors and is protected by intellectual property laws. These Terms do not grant you any right, title or interest in the Service other than the limited right to use it as permitted here.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Service. Nothing in these Terms is intended to substitute for advice from a qualified accountant, tax advisor or attorney.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately in cases of serious misuse, non-payment, or as required by law. Upon termination, your right to use the Service ends, though certain provisions of these Terms (such as data ownership, intellectual property and limitation of liability) will survive.

10. Governing law

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of law principles, and any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].

11. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by email or through the Service, before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
